Business purchases
Our range and sales process are intended for customers buying for their trade, business, craft or profession. By placing a business order, you confirm that you have authority to bind the business named on the order and that the purchase is for its business activities. If you operate as a sole trader, the contract is with you personally in that capacity.
Please contact us before ordering for mainly personal or domestic use. A business name, invoice or declaration does not by itself remove consumer status. If you are legally a consumer, mandatory consumer rights and remedies continue to apply and take precedence over any inconsistent provision here.
The documents forming your contract
Your contract comprises these terms, the relevant delivery and returns policies made available before purchase, the product description and specification you ordered, and any specific written terms expressly agreed for that order.
An expressly agreed order-specific term takes priority over a general term on the same subject. Otherwise, these terms apply alongside the relevant policy. A material restriction or extra charge must be disclosed before acceptance; it cannot be added to your contract simply by changing a website page afterwards.
Your purchase-order or procurement terms do not replace these terms unless we expressly accept them in writing. Keep a copy of the product information, quotation and policies supplied for your order.
Enquiries, quotations and order acceptance
Website listings and quotations invite you to place an order; they are not themselves acceptance of an order unless expressly stated. A quotation is valid for the period stated in it. If no period is stated, please obtain written confirmation that it remains available before ordering.
An order is your offer to buy on the stated terms. An automated acknowledgement, payment receipt or payment authorisation confirms receipt or payment activity only. It does not by itself create a sales contract.
We accept your order when we send an express written acceptance or, if earlier, dispatch the goods. For configured or made-to-order equipment, we will confirm acceptance in writing before authorising work under the contract. Acceptance will identify the agreed specification, total price, payment arrangements and delivery estimate or agreed timetable.
Before acceptance, we may decline an order because of availability, application suitability, delivery limitations, an obvious pricing error or payment concerns. We will explain the reason where appropriate and refund payment taken for any unaccepted part. If corrected details are needed, we will ask you to agree them before acceptance. We will not substitute equipment without your agreement.
Product information and suitability
Please check the model, configuration, quantities, dimensions, included accessories and compatibility information before ordering. Images may show optional accessories or an example setup; the written specification and list of included items determine the supply.
Tell us about requirements that are important to the purchase, including the product being filled, container or packaging characteristics, intended output, operating environment and available utilities. We may seek information, a sample assessment or manufacturer clarification where needed. Sample testing, demonstrations or application trials are included only where expressly agreed.
Published capacities and speeds are based on stated manufacturer conditions or examples. Actual results depend on the product, packaging, operator, setup and working conditions. We do not promise a particular saving, output or commercial result unless it is expressly agreed as part of the specification.
You are responsible for providing accurate application information and preparing the site. This does not remove our responsibility to supply goods matching the contract, or any applicable obligation concerning a purpose you made known to us and on which you reasonably relied on our judgement.
Configured and special-order equipment
For an order requiring configuration, we will set out the selected options, included items, any application checks, deposit or stage payments, estimated lead time and relevant cancellation restrictions before acceptance.
Please review the specification carefully. Changes after acceptance require written agreement and may alter price, timing or cancellation costs. We will explain any proposed adjustment before proceeding. A later supplier change does not automatically amend your accepted specification.
Prices, VAT and payment
Prices are in pounds sterling. Business prices may be displayed excluding VAT where clearly labelled; VAT treatment and the total payable will be shown at checkout or in the quotation before acceptance. Delivery, installation, training and accessories are included only where expressly stated.
Unless we agree credit or a payment schedule in writing, cleared payment is required before dispatch. For configured equipment, a deposit or stage payment may be required before procurement or production begins. Payment methods available for the order are shown at checkout or in the quotation.
If payment is overdue, we may suspend the affected supply after notifying you and giving a reasonable opportunity to pay. We will discuss any effect on delivery. We will not demand payment to an alternative bank account solely through an unexpected email; please verify any requested change using our published contact number.
An obvious price or description error will be addressed before acceptance wherever possible. After acceptance, any correction affecting the agreed supply requires your agreement or another lawful basis. Price changes on the website apply to future orders.
Delivery and site access
Delivery is governed by the arrangements agreed for your order and our Delivery Information page. Northern Ireland, remote and offshore locations may require a separate availability and carriage check. We do not offer international delivery under these terms.
Lead times are estimates unless a guaranteed or essential date is expressly agreed in writing. We will notify you of material delays and discuss appropriate options. We do not remove remedies you have for breach of an agreed delivery obligation or an unreasonable failure to deliver.
You must provide an accurate address, an appropriate delivery contact, safe access and the unloading arrangements agreed for the equipment. Standard pallet delivery does not include moving the machine into the premises, unpacking, installation, commissioning or training unless stated in the quotation.
Reasonable additional costs caused by incorrect delivery information, inaccessible premises or failure to provide agreed unloading arrangements may be payable. We will explain the cause and costs before arranging the next step. You are not responsible for costs caused by our error or that of our appointed carrier.
We may fulfil an order through a manufacturer or distribution partner and deliver items separately where appropriate. We remain your contracting seller.
Risk and ownership
For business orders, risk of accidental loss or damage passes to you on completion of delivery at the agreed delivery or unloading point. Where you appoint a carrier independently of us to collect goods, risk passes when the goods are handed to that carrier. Responsibility for unloading will be stated in the agreed delivery arrangements.
Ownership passes when we have received cleared payment in full for the goods. Until then, keep them identifiable, take reasonable care of them and do not pledge them as security. This clause does not reduce our obligations concerning goods that were defective or otherwise failed to meet the contract when supplied.
Inspection, faults and warranties
Please inspect deliveries promptly and report damage, missing items or incorrect goods as soon as possible, ideally within two working days. Report a hidden defect promptly after discovering it. Missing this reporting target does not automatically extinguish a valid claim or rights that cannot lawfully be excluded.
We will supply goods in accordance with the contract and applicable legal requirements concerning description, quality, title and fitness for purpose. Contact us first about an issue. We may arrange reasonable inspection or troubleshooting so that the appropriate remedy can be identified, without making manufacturer approval a substitute for our own obligations.
Any manufacturer warranty applies on the coverage, duration and service terms disclosed for the product. It is additional to rights under the sales contract and applicable law. On-site attendance, installation support and loan equipment are not included unless expressly agreed.
Damage caused by misuse, unsuitable site conditions, failure to follow instructions or unauthorised changes may fall outside a warranty to the extent those causes are responsible for the problem. We will explain an assessment and obtain agreement before arranging chargeable work.
Returns and cancellations
Our Returns & Cancellations policy explains the process. Business change-of-mind returns require our written approval; requests should be made within 14 calendar days after delivery. Approved unused standard goods may incur the disclosed return costs and a reasonable restocking deduction capped at 20% of the net price paid for those goods, excluding VAT.
Configured, made-to-order, disclosed special-order and certain used or opened items are normally excluded from change-of-mind returns. These restrictions do not exclude remedies for a valid fault or other breach of contract.
Before acceptance, you may withdraw your order. After acceptance, cancellation of a business order requires agreement and may involve reasonable, unavoidable costs already committed, as explained in the returns policy. No restocking deduction applies to a valid faulty, damaged, incorrect or misdescribed-goods claim.
Do not send goods to our registered office. We will provide the correct destination and packing instructions.
Installation and safe operation
You are responsible for an appropriate site, competent operators and using the equipment in accordance with the supplied instructions. Electrical, compressed-air, guarding, cleaning and maintenance requirements must be followed. Any site assessment or specialist installation remains your responsibility unless expressly included in our agreement.
Buying a machine does not by itself establish that your complete production process or finished product meets all applicable requirements. Tell us about any specific requirement before ordering. This does not reduce our responsibility for the conformity of the goods and services we agree to supply.
Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, a breach of an obligation as to title that cannot be excluded, or any other liability that the law does not allow to be excluded or limited.
Subject to that paragraph, and only to the extent permitted by applicable law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business opportunity or business interruption arising in connection with the order.
Subject to the same protections, our aggregate liability arising out of or in connection with an affected order, whether in contract, negligence or otherwise, is limited to the total price paid or payable under that order. These limitations apply only insofar as they satisfy any applicable statutory requirement of reasonableness. If a limit is unenforceable in a particular case, the law determines the resulting liability.
Events outside reasonable control
If an event outside our reasonable control prevents or delays performance, we will notify you, take reasonable steps to reduce the effects and explain the expected impact. Examples may include serious transport disruption, natural disasters or interruption of essential utilities.
We will discuss alternatives or cancellation if the interruption is substantial or prolonged. We will refund sums relating to goods or services that are cancelled and not supplied, subject to any lawful, expressly agreed treatment of completed bespoke work. This clause does not excuse us from returning money that is properly due to you.
Website use and intellectual property
Please use the website lawfully and do not interfere with its security or operation. You may view and retain product information for evaluating and using equipment you buy from us. Website content and third-party trademarks remain the property of their respective owners and must not be reproduced for unrelated commercial use without permission.
Links to third-party sites are provided for relevant information. Their separate services and content are governed by their own arrangements. This does not affect our obligations for the goods or services we sell to you.
Personal information is handled as described in our Privacy Policy. Acceptance of sales terms does not itself give consent to marketing or optional cookies.
Complaints and general provisions
Please email contact@batchpointequipment.com with your order number and the issue so we can investigate and propose a resolution. You may also write to our registered office.
If a provision is found unenforceable, the remaining provisions continue so far as lawful. A delay in exercising a right does not waive it. A variation to an accepted order requires agreement in writing, which may be by email.
We may update website terms for future orders. The version supplied or made available when we accept your order governs that order unless we agree a change with you.
These terms and business contracts made under them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction for disputes arising from those business contracts, subject to any mandatory rule that requires otherwise. Mandatory protections and jurisdiction rights applying to a person who is legally a consumer are preserved.
